Information-Highway.com, Inc. issued 499,000 share of freely tradable share of common stock and 2,736,000 shares of restricted common stock resulting in a total of 3,554,667 shares of common stock outstanding after the completion of the transaction.

As a result of the transaction, John Robertson, Jennifer Lorette and James Vandeberg were elected directors. Mr. Robertson was appointed President and Chief Executive Officer; James Vandeberg, Vice President; and Jennifer Lorette as Secretary.

In announcing the completion of the transaction including the change of name to Information-Highway.com, Inc., Mr. Robertson stated, "This is a significant event in our corporate development which will greatly improve the opportunity for rapid growth in the future".
